Gila Ponte-Shlush is a partner at Gornitzky & Co.
Gila co-heads the Private Investment Funds practice at Gornitzky&Co. Gila is qualified as an advocate in Israel and as a solicitor in England and Wales.
Gila accompanies founders and managers in the fund formation and fundraising processes beginning from founders’ arrangements and structure throughout the final closings of the funds. Gila also supports the funds and their managers in their ongoing day-to-day activities (such as corporate governance matters of the General Partners, bank account opening, secondary transfers, LPs and advisory board meetings and co-investments).
Gila was also actively involved in the establishment of a VC fund that was registered for the first time under the Israeli innovative TASE-UP platform, a closed trading platform offered to accredited investors and institutional investors in high-tech companies. Gila also led the representation of Fattal Hotels Group (the largest Israeli hospitality organization and one of the fastest-growing hotels group across the UK and Europe) in the formation process, subscription and initial closing of Fattal European Partnership II L.P., an approx. EUR 385 million investment fund focusing on acquisition, renovation and operation of hotels in the European region.
Gila also specializes in the regulatory framework of Banking and non-Banking financial institutions investing in various types of funds (distress, VCs, debt funds, fund of funds, private equity and so forth). Gila supports Israeli institutional investors in all regulatory and other legal aspects concerning their investments in funds, negotiate on their behalf terms and conditions of side letters and accompanies anchor investors investing in Israeli VC and other funds.
Gila also represented certain non-banking financial institutions in their investments in funds established pursuant to the Israeli Innovation Authority’s “Incentive Program 43” designed to encourage institutional investments in Israel’s venture capital and high tech markets, and in special-purpose investment vehicles.
Gila also gained experience and expertise in Banking and Finance. Gila represented foreign and local financial institutions in cross-border syndicated, bilateral, primary, and secondary financings, with a particular emphasis on the representation of international sponsors in their acquisition financing transactions.
Before joining Gornitzky&Co., Gila spent nearly three years in London, during which she pursued her Master of Laws (with Merit) and qualified as a Solicitor in England and Wales. Gila also worked in the Financial Services and Commercial Dispute Resolution departments in the London office of Berwin Cave Leighton Paisner LLP. Prior to that, Gila was an associate at another leading Israeli law firm and served as a legal intern at Gornitzky & Co.
