Nir Knoll is a partner at Gornitzky & Co.
Nir began his Israeli legal career at Gornitzky & Co. in 2014 as a legal intern and has continued as an associate.
Prior to joining Gornitzky, Nir served as an associate in the Mergers & Acquisitions and Corporate Finance Group of a leading New York law firm.
Nir is involved in representing the firm’s clients in a variety of corporate transactions, including domestic and cross-border M&A transactions (both inbound and outbound), equity offerings on foreign exchanges, private equity investments and general commercial matters.
Representative Transactions include:
- Representing the shareholders of AHAVA Dead Sea Laboraties Ltd. in the sale of AHAVA’s share to the Fosun Group, a large Chinese conglomerate.
- Representing Fortissimo in its acquisition of Tuttnauer Ltd., a leading manufacturer and supplier of autoclaves, washers and other sterilization applications and devices.
- Representing Priority Software in its acquisition of Acclivity LLC, a U.S. based ERP software developer.
- Representing International Flavors & Fragrances Inc. (IFF), a publicly traded company on the NYSE, in its acquisition by way of a reverse triangular merger of Frutarom Industries Ltd., a publicly traded company on the TASE.
- Representing the underwriters in a USD 86 million secondary offering on the NASDAQ by Neuroderm, an Israeli company listed on the NASDAQ.
- Representing the underwriters in a USD 57.5 million secondary offering on the NASDAQ by Intec Pharma, an Israeli company listed on both the NASDAQ and the Tel Aviv Stock Exchange.
- Representing the underwriters in a USD 22.5 million secondary offering on the NASDAQ by Redhill BioPharma, an Israeli company listed on both the NASDAQ and the Tel Aviv Stock Exchange.
- Representing the underwriters in a USD 11.2 million IPO on the NASDAQ by Entera Bio, an Israeli company.
- Representing the underwriters in a USD 172.5 million secondary offering on the NASDAQ by Urogen, an Israeli company listed on both the NASDAQ.
