Yair Shiloni is a partner in the firm of Gornitzky & Co.
Yair has extensive experience in providing legal services and advising companies in all areas of the capital market, corporate law and securities. Yair specializes in capital transactions and various debt transactions, advising clients (both issuers and underwriters) on initial and public offerings, capital raising, and bond issues, as well as consulting in corporate governance and compliance matters. Yair represents clients in a wide range of industries, including financial institutions, real estate, infrastructure, and food.
In addition, Yair has extensive experience in conducting proceedings before the Israel Securities Authority and the Tel Aviv Stock Exchange, and he provides ongoing representation to public companies and private corporations on a variety of issues.
Among his notable achievements are:
- Representation of the Brosh Capital Fund (at the head of a group of institutional and private investors) in a transaction with LEG for the sale of shares constituting of approximately 24% of the capital of Barak Capital Properties N.V., for a total consideration of 270 million euros.
- Representation of the Israel Corporation Ltd. in a transaction for the sale of shares in Petroleum Refineries Ltd. (BZN), amounting to 9% of BZN’s issued capital, to a number of institutional entities, for a total consideration of NIS 265 million.
- Representation of ADO GROUP, an Israeli real estate corporation traded on the Tel Aviv Stock Exchange (TASE), in a transaction for its acquisition by Adler Real Estate AG, a German company traded in Frankfurt, for more than 700 million euros.
- Representation of the Israel Corporation Ltd in the issuance of a new series of public bonds on the stock exchange worth NIS 750 million.
- Representation of OPC Eneregy Ltd. in raising a public offer of NIS 400 million for a new series of interest-bearing bonds.
- Representation of Fattal Holdings (1998) Ltd. in an initial public offering (IPO), together with the listing of the Company’s debentures on the Tel Aviv Stock Exchange (TASE).
- Representation of Osem Investments Ltd., one of the leading food companies in Israel, in a reverse triangular merger, according to which Nestle S.A. purchased all Osem shares held by the public in exchange for cash valued at NIS 9.13 billion.
