Our firm represented Keystone REIT in negotiations for the acquisition of Egged Transportation Company (valuated NIS 4.8 billion). Our work included negotiations over the Sale Purchase Agreement and the incorporation documents of Egged post-acquisition execution of full financial closing, as well as negotiations with various partners, in which a partnership agreement between Keystone REIT and the Teachers Education Fund was signed. The closing of the transaction is subject to the final approval of Egged’s Shareholders General Meeting, and the fulfillment of the conditions precedent as detailed in the Sale Purchase Agreement.
