Our firm represented the independent committee of Panaxia Labs Israel Ltd., a public company engaged in the cannabis industry, in proceedings to examine and hold negotiations over a share swap agreement with the Barak Group, which operates in the financial investment sector. Pursuant to the agreement, Panaxia would sell its operations to the current controlling shareholder, and it would enter into an agreement to bring in the operations of the Barak Group, in consideration of the allocation of 60% of Panaxia’s shares. The committee was represented by Adv. Kfir Yadgar, Adv. Uri Heller and Adv. Sharon Strauss.
