Our firm successfully represented Osem in a corporate restructuring process, that includes a series of mergers, including uncommon mergers between companies and partnerships in the group, that required a special order from the Minister of Justice regarding applying Sections 350-351 of the Companies Law also on the merging partnerships, as well as a judicial approval. After the order was obtained from the Minister of Justice (as far as known, for the first time in Israel), this week, at the request of the Osem Group, the ruling of the District Court approved the mergers between the companies and the relevant partnerships in the Osem Group, including the transfer of licenses and collateral activities from the liquidated partnerships to the companies.
